This Terms of Agreement (“Agreement”) constitutes a legally binding contractual instrument between the end user (“User,” “you,” or “your”) and Orboltix LLC (“Orboltix®,” “we,” “us,” or “our”), governing access to, interaction with, and use of all software systems, digital services, interactive environments, proprietary content, application programming interfaces, artificial intelligence systems, and associated technologies collectively defined as the “Services.”
By accessing, registering for, or otherwise utilizing the Services, you expressly acknowledge that you have read, understood, and irrevocably agreed to be bound by this Agreement in its entirety. Any unauthorized use of the Services or Company Content shall constitute a material breach of contract and may give rise to civil, equitable, and injunctive remedies, including claims for damages, restitution, disgorgement, and enforcement costs to the fullest extent permitted under applicable law.

Access to certain portions of the Services requires the creation of a registered user account. By registering, you represent and warrant that all information provided is accurate, complete, and lawfully obtained. You further affirm that you possess the legal capacity to enter into binding contractual obligations under applicable jurisdictional law. Orboltix® reserves the absolute right to refuse registration or revoke account access at its sole discretion where fraudulent, abusive, or non-compliant activity is suspected.
Users bear full, sole, and exclusive responsibility for the confidentiality, integrity, and security of all account credentials and access mechanisms associated with their account, including but not limited to usernames, passwords, multi-factor authentication codes, cryptographic keys, session tokens, API keys, device identifiers, biometric authentication factors, and any other credentialing or device-linked authentication systems.
Users acknowledge and agree that they are solely responsible for implementing and maintaining reasonable security practices to safeguard their accounts against unauthorized access, including but not limited to preventing credential sharing, unauthorized disclosure, phishing exploitation, malware compromise, and access through unsecured devices or networks.
Any and all activity conducted through or under a user’s account shall be conclusively presumed to have been authorized by the account holder and shall be attributable to the registered user, regardless of whether such activity was actually performed by the user or by any third party, agent, or unauthorized actor.
This attribution presumption shall remain binding unless and until the user provides clear, credible, and technically substantiated evidence demonstrating that such activity resulted directly from a verified security failure, system vulnerability, or infrastructure compromise attributable solely to Orboltix®.
Orboltix® shall bear no liability for any unauthorized access, account takeover, credential theft, or misuse of account credentials arising from user negligence, third-party compromise, or failure to maintain adequate security safeguards, except where such loss is directly and conclusively caused by proven system-level breach attributable to Orboltix®.
Users further acknowledge that prompt notification to Orboltix® of suspected unauthorized access is a condition precedent to any potential remedial consideration, and failure to timely report such incidents may limit or extinguish available remedies.
Orboltix® retains sole, exclusive, and unilateral discretion to monitor, investigate, suspend, restrict, disable, or permanently terminate any user account, access credentials, or associated privileges, in whole or in part, at any time, with or without prior notice, explanation, or liability, where Orboltix® determines, in its sole judgment, that such action is necessary or appropriate.
Such determinations may be made for any reason including, without limitation, actual or suspected violation of this Agreement, breach of applicable law or regulation, fraudulent, abusive, deceptive, or harmful activity, security risks, intellectual property infringement, interference with platform integrity or functionality, misuse of artificial intelligence systems, or any conduct that may expose Orboltix®, its users, or third parties to legal, operational, or reputational harm.
Orboltix® further reserves the right to take preventative enforcement measures prior to final determination, including temporary suspensions, feature limitations, rate restrictions, content removal, or access throttling, where such measures are reasonably believed necessary to mitigate risk or maintain system stability.
Upon termination or suspension of any account for any reason, all rights, licenses, permissions, and authorizations granted to the user under this Agreement shall immediately and automatically terminate without further action. Orboltix® shall have no obligation to maintain, retain, restore, or provide access to any user data, content, or account information following termination, except as required by applicable law.
Termination or suspension of access shall not limit any other rights or remedies available to Orboltix®, all of which are expressly reserved.
Users retain all ownership rights, title, and interest in and to original content that they create and submit to the Services (“User Content”), subject to the rights and licenses expressly granted herein. Nothing in this Agreement shall be construed as transferring ownership of User Content from the user to Orboltix®.
However, by submitting, uploading, transmitting, generating, or otherwise making available User Content through or in connection with the Services, users hereby grant Orboltix® a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license, without limitation or restriction, to use, host, store, reproduce, distribute, modify, adapt, translate, format, create derivative works from, publicly display, publicly perform, communicate to the public, and otherwise exploit such User Content in any media formats and through any distribution channels now known or later developed.
This license is granted for the purposes of operating, maintaining, securing, improving, and evolving the Services, including but not limited to content moderation, system optimization, feature development, personalization, algorithmic ranking, artificial intelligence training (where permitted by applicable law), safety enforcement, and promotional or marketing activities relating to the Services.
Users expressly acknowledge and agree that such license includes the right for Orboltix® to sublicense these rights to third-party service providers, infrastructure partners, artificial intelligence vendors, hosting providers, content delivery networks, analytics providers, and other operational contractors solely for the purpose of enabling or supporting the Services.
Orboltix® shall have no obligation to attribute, compensate, or otherwise acknowledge any User Content in connection with its use under this license, unless explicitly required by applicable law or separately agreed in writing.
This license shall survive termination or suspension of a user’s account and shall remain in effect for any User Content that has been archived, stored, or otherwise retained in backup or system records.
Subject to compliance with this Agreement, Orboltix® grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly for personal, non-commercial purposes unless explicitly authorized otherwise in writing. Any use outside the scope of this license is strictly prohibited and constitutes infringement.
Where paid features are offered, all financial transactions are processed through third-party payment processors, including PayPal or equivalent service providers. Orboltix® does not store full payment instrument details. Users acknowledge that payment processing is subject to the terms, privacy policies, and operational rules of such third-party processors. All fees are non-refundable unless explicitly required by applicable law or stated otherwise in writing.
All intellectual property rights, proprietary interests, and associated legal protections in and to the Services are and shall remain the exclusive property of Orboltix® or its respective licensors, as applicable. This includes, without limitation, all rights in and to software architecture, system design frameworks, source code, object code, application programming interfaces, user interface and user experience designs, visual design systems, proprietary algorithms, machine learning models, artificial intelligence systems, training methodologies, model weights, embeddings, data structures, databases, compilations, audiovisual works, graphical assets, audio compositions, text content, documentation, metadata structures, and any derivative, modified, or improved versions thereof, whether registered or unregistered, existing now or developed in the future. All rights not expressly and unambiguously granted to the user under this Agreement are hereby reserved in full by Orboltix® and its licensors. No license, right, title, or interest in or to any intellectual property contained within or associated with the Services is granted or implied by implication, estoppel, or otherwise, except for the limited, revocable, non-exclusive, and non-transferable right to access and use the Services strictly in accordance with the terms of this Agreement. Any unauthorized use, exploitation, reproduction, or derivative application of such intellectual property beyond the express scope of this Agreement constitutes a material breach and may result in immediate enforcement action, including civil and equitable remedies available under applicable intellectual property and contract law.
Orboltix® vigorously enforces and actively protects its intellectual property rights to the fullest extent permitted under applicable law, including but not limited to rights in copyright, trademark, trade dress, design rights, database rights, proprietary software, audiovisual works, user interface elements, artificial intelligence systems, source code, algorithms, data structures, and any associated derivative or underlying works (collectively, “Company Content”).
Any unauthorized access, use, reproduction, scraping, extraction, caching, redistribution, modification, adaptation, translation, decompilation, reverse engineering, disassembly, or commercial exploitation of Company Content, whether in whole or in part, is strictly prohibited. This prohibition expressly includes the incorporation of Company Content into competing products, services, datasets, models, or derivative works, whether for commercial, research, training, or experimental purposes.
Company Content further includes trademarks, service marks, logos, brand identifiers, trade dress, visual identity systems, proprietary naming conventions, and any confusingly similar variations thereof. Any use that creates actual or potential consumer confusion, dilution, misrepresentation of affiliation, or false endorsement is strictly prohibited.
Orboltix® reserves the unconditional right to pursue any and all available legal and equitable remedies in response to any actual, attempted, or suspected infringement. Such remedies include, without limitation, injunctive relief, interim or permanent restraining orders, seizure or takedown actions, account termination, disgorgement of profits, statutory or actual damages, and recovery of attorneys’ fees, expert costs, and enforcement expenses.
No failure or delay by Orboltix® in exercising any right shall constitute a waiver of such right, and all rights not expressly granted herein are strictly reserved.
Users are expressly prohibited from reverse engineering, decompiling, disassembling, extracting source code, or creating derivative works based on the Services or any Company Content. Any attempt to replicate functionality, design systems, or underlying mechanics constitutes unauthorized appropriation and will be treated as a material breach of this Agreement.
AI-generated outputs provided through the Services are made available strictly for general informational, experimental, and assistive purposes only and do not constitute professional, technical, legal, financial, medical, or otherwise certified advice. Such outputs are inherently probabilistic, may be incomplete, inaccurate, or contextually unsuitable, and should not be relied upon as authoritative or determinative in any decision-making process.
Users are expressly prohibited from using, reproducing, extracting, reverse engineering, or otherwise leveraging AI-generated outputs, in whole or in part, for the purpose of constructing, training, fine-tuning, distilling, benchmarking, or otherwise developing any artificial intelligence system, machine learning model, dataset, or algorithmic framework that competes with, replicates, or substitutes the Services or any proprietary systems of Orboltix®.
Without limitation, users may not utilize AI outputs to create derivative models, synthetic training corpora, prompt libraries, embeddings databases, or any other structured or unstructured dataset intended for commercial or non-commercial deployment outside the Services without the prior express written authorization of Orboltix®.
All intellectual property rights, technical methodologies, system architectures, safety layers, and underlying model behaviors associated with the AI systems remain the exclusive property of Orboltix® or its licensors. No rights or licenses are granted by implication, estoppel, or otherwise except as expressly set forth in this Agreement.
Orboltix® disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of accuracy, reliability, fitness for a particular purpose, or non-infringement of AI-generated outputs. Users acknowledge and agree that any reliance upon AI-generated content is undertaken solely at their own risk and discretion, and Orboltix® shall bear no liability whatsoever for any loss, damage, claim, or consequence arising from such reliance.
Orboltix® further reserves the right to monitor, restrict, or terminate access to AI functionality where misuse, circumvention attempts, or policy violations are detected, including attempts to harvest or systematically extract model behavior or outputs.
Any feedback, suggestions, reviews, or ideas submitted by users shall be deemed non-confidential and may be freely used, modified, or incorporated by Orboltix® without restriction or compensation to the user.
Users may be permitted, through functionality expressly enabled within the Services, to engage in video conferencing, livestreaming, screen capture, gameplay broadcasting, and session recording, including the creation and distribution of user-generated audiovisual content derived from authorized use of the platform. Such permissions are strictly conditional, revocable, and limited to the scope of features explicitly made available by Orboltix®.
Any recording, streaming, or capture of the Services outside of functionality intentionally enabled by Orboltix®, or in violation of applicable usage policies, technical safeguards, or access controls, is strictly prohibited and constitutes unauthorized use of Orboltix® systems and intellectual property.
Users acknowledge that participation in video conferencing sessions, interactive gameplay environments, and AI-enabled experiences may result in the creation of derivative audiovisual works. Subject to compliance with this Agreement, Orboltix® may grant a limited, non-exclusive, non-transferable license to record or stream such content solely for personal, non-commercial, or expressly permitted distribution purposes.
All recordings, streams, or shared media must not be used in a manner that infringes upon Orboltix® intellectual property rights, misrepresents affiliation with Orboltix®, or is repurposed into competing services, datasets, or training materials for artificial intelligence systems without prior written authorization.
Orboltix® reserves the right to enforce technical limitations, including disabling recording, restricting broadcast capabilities, or limiting distribution functions where necessary to protect user safety, platform integrity, intellectual property, or legal compliance obligations.
Users hereby agree to fully indemnify, defend, and hold harmless Orboltix®, its affiliates, subsidiaries, officers, directors, employees, contractors, licensors, service providers, and agents from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, judgments, penalties, fines, costs, and expenses (including reasonable attorneys’ fees, expert witness fees, litigation costs, and enforcement expenses) arising out of or relating to, directly or indirectly, the user’s access to or use of the Services.
This indemnification obligation applies without limitation to claims arising from: (i) any breach or alleged breach of this Agreement by the user; (ii) any violation of applicable law, regulation, or third-party rights, including intellectual property, privacy, publicity, or contractual rights; (iii) any content submitted, uploaded, transmitted, or otherwise made available by the user through the Services; (iv) misuse, abuse, or unauthorized exploitation of the Services, including artificial intelligence systems, automated tools, or platform features; and (v) any negligent, reckless, fraudulent, or unlawful conduct by the user or any party accessing the Services through the user’s account credentials.
Users expressly acknowledge that Orboltix® shall have the exclusive right, at its sole discretion, to assume control of the defense and settlement of any matter subject to indemnification under this clause, and the user shall cooperate fully with such defense, including the provision of relevant information, documentation, and assistance as reasonably requested.
No settlement that imposes any obligation, admission of liability, or restriction upon Orboltix® shall be entered into without its prior written consent.
This indemnification obligation shall survive termination, suspension, or cessation of the user’s access to the Services and shall remain in full force and effect notwithstanding any expiration or termination of this Agreement.
To the maximum extent permitted by law, Orboltix® shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use or inability to use the Services, including loss of data, revenue, or business opportunities.
Nothing in this Agreement shall be construed to create any partnership, joint venture, employment, or agency relationship between users and Orboltix®.
Orboltix® reserves the right to modify or update this Agreement at any time. Continued use of the Services following such updates constitutes acceptance of the revised terms.
This Agreement represents the complete and exclusive understanding between the parties. No implied rights, licenses, or permissions shall be recognized beyond those expressly stated herein.
Orboltix® reserves all legal and equitable remedies available under law, including injunctive relief and damages, for enforcement of intellectual property rights and contractual obligations.
All legal notices shall be directed to Orboltix LLC via official contact channels designated within the Services interface or published documentation.
